Daimler Completes Sale of 7.5% Stake in EADS

German car maker Daimler AG (>> Daimler AG) said Thursday it has successfully sold off a 7.5% stake in European Aeronautic Defence & Space Co. (>> EADS), as planned.

MAIN FACTS:

-Daimler sold 61.1 million EADS shares for 27.23 euro each ($35.40).

-"From this sale, we will realize approximately EUR1.66 billion, which are contributing positively to our free Cash Flow this year. We will invest the proceeds of the sale into the global growth of our divisions, our products and the extension of our technological leadership," stated Bodo Uebber, Daimler board member said.

-Demand from institutional investors was strong and the offer was multiple times oversubscribed.

-Goldman Sachs and Morgan Stanley acted as joint bookrunners for the placement of EADS shares via accelerated book building.

-Daimler's remaining stake in EADS amounts to around 7.5%.

Tom Enders, chief executive of the world's second largest aerospace firm after Boeing (>> The Boeing Company), pledged to put "strong emphasis" on cash generation and ensuring that deliveries of Airbus passenger jets remained on course in the final quarter.

EADS maintained forecasts of an increase of at least 10 percent in revenues and expected to deliver a 2012 operating profit of 2.7 billion euros. It aimed for a "breakeven" in free cash flow for the full year, with the language toned down from a "positive" cashflow forecast embedded in its half-year results.

In its first trading update since calling off plans to merge with Britain's BAE Systems (>> BAE Systems plc) last month, the Franco-German-led company said its key A350 aircraft program remained challenging despite resolution of a wing production problem.

It posted a 67 percent rise in third-quarter operating profit to 537 million euros on sales of 12.324 billion euros, up 15 percent, compared with average analyst forecasts of 454 million operating profit and revenues of 11.853 billion.

EADS took a 76 million euro charge for the failure of U.S. aircraft manufacturer Hawker Beechcraft.

Germany Gets Green Light to Buy EADS Shares

BERLIN--Germany's Parliament on Thursday gave Chancellor Angela Merkel's government the green light to press ahead with its plan to acquire a package of shares in European Aeronautic Defence & Space Co. EADS NV (>> EADS), according to Parliament sources familiar with the situation.

A largely technical move with far-reaching consequences, Parliament's budget committee lifted a freeze on a government request to purchase EADS shares. The committee previously demanded that the government present a plan for purchasing the shares. Peter Hintze, a senior Economics Ministry official, presented the government's acquisition strategy to the committee late Thursday afternoon, committee sources told Dow Jones Newswires.

The government plan, outlined in a report that Mr. Hintze presented to the committee, proposes first buying a 4.5% stake in EADS held by investment group Dedalus. In a second step, the government would purchase a 7.5% stake in EADS now held by German industrial group Daimler AG (>> Daimler AG).

In the report presented by Mr. Hintze, the government's calculation assumes a share price of around 30 euros per EADS share. EADS shares were trading at around EUR26.74 late Thursday. Germany wants to close any transaction as soon as possible to prevent Daimler from selling the shares on the open market, which would result in a loss of Germany's influence over the Franco-German company. The German government will purchase the shares through its conduit, the state-owned KfW development bank.

Germany's government is prepared to spend nearly EUR3 billion ($3.89 billion) to purchase EADS and accept a purchase price above the market rate, according to the report, which the Economics Ministry prepared for the parliamentary budget committee. The committee's decision clears the way for the government to spend an initial EUR1.6 billion.

According to the document, advanced discussions between the government and Daimler on acquiring the car maker's stake in EADS went on hold in July due to talks over a proposed merger of EADS with the U.K.'s BAE Systems PLC (>> BAE Systems plc). The deal eventually failed as the U.K., France and Germany couldn't agree on control of the combined company.

Due to the hold-up, Daimler initiated steps to dispose of half of its 15% stake in EADS in 2012 by selling shares on the market as a precautionary measure in case the government's planned takeover of Daimler's stake via KfW were to fail within the agreed time frame, according to the report.

"Last week has been frustrating, not to say more, but it's one week in a longer process that we have to continue to assess," Herteman told Reuters on the sidelines of the annual convention of the European aerospace and defense industry in Lisbon.

"Beyond competition issues there are political stakes because we are talking about the security and sovereignty of countries. Obviously more political coordination is needed so this does not happen again," he said.

Talks to create a $45 billion aerospace and defense company with a merger between EADS and BAE broke down on Wednesday amid political disagreements over the deal.

"Nothing can happen in this field without support of governments, these actions have to be fully undertaken by all stakeholders," he said.

The Safran CEO also responded to criticism from activist investor The Children's Investment Fund Management(TCI) about what it called Safran's "value destructive" acquisitions.

Herteman said his company had a clear strategy focused on high-technology and its earnings record spoke for itself.

"We do have a strategy. We are the kind of people that we do what we say. We have a strategy of diversifying ourselves within a consistent business model, it is high-tech based on technology differentiation," he said.

"Since 2007 we have been increasing our operating profit by 20 to 25 percent a year and will continue to do so in the years to come. Profit and dividend have been growing and will continue to grow."

Speaking to British reporters on the sidelines of an International Monetary Fund meeting in Tokyo, Osborne said the transaction might have succeeded if the national governments and the companies' shareholders had discussed it more thoroughly.

"It is not that we were committed to the deal, we just thought it worth discussing. We have been a bit disappointed primarily by Germany's attitude, which in effect vetoed the deal," Osborne said.

"I would like to have found more time to discuss the possibility of merger," he added.

Talks to create the world's largest aerospace and defense company collapsed on Wednesday. Several sources involved in the discussions said German Chancellor Angela Merkel had blocked the deal, but that Britain and France were supportive.

German sources have however said they were unconvinced by the deal's commercial logic, and were concerned the combined company could be locked out of U.S. defense deals.

BAE is a private British company, and the U.S. armed forces account for nearly half of its revenue. Because Washington is reluctant to give contracts to firms influenced by foreign governments, BAE considers minimizing state control as crucial to its business.

EADS has a more complicated share structure that gives big influence to German and French industrial groups and the French state. To keep its influence at the combined firm, Germany would have had to have bought out a holding by engineering firm Daimler.

Osborne said the British government's stance had been straightforward.

"We had some very clear red lines: we were absolutely clear our national security had to be protected, absolutely clear that we wanted to protect job and investment in the UK, and we were concerned about large shareholdings held by other countries."

A maior empresa de aeronáutica do mundo não o chegou a ser, porque se revelou "impossível" conciliar interesses de França, Alemanha e Reino Unido. Berlim terá sido o osso mais duro de roer. Mas também não terá sido possível encaixar o desejo da britânica BAE em manter a sua relação privilegiada com o Pentágono.
O grupo aeroespacial europeu EADS, que fabrica o Airbus, e o britânico BAE Systems anunciaram hoje que deixaram cair por terra os seus planos de fusão, que criaria a maior empresa aeronáutica do mundo, avaliada em 38 mil milhões de euros.

"A BAE Systems e a EADS decidiram no melhor interesse das suas empresas e accionistas dar por concluídas as negociações e centrarem-se nos resultados das respectivas estratégias”, revelou a empresa britânica em comunicado.

Segundo a BAE, tornou-se claro que os interesses dos governos francês, britânico e alemão não poderiam ser reconciliados uns com os outros nem com os objectivos traçados para a fusão entre a BAE e EADS. Desde o início que se sabia que os planos de fusão seriam extraordinariamente difíceis de concretizar, dado imbricado de preocupações de segurança e de afirmação nacional que se cruzem num negócio que alia a aviação civil a actividades de natureza militar.

As exigências alemãs terão sido as mais duras – Berlim queria paridade na nova empresa e sede em Munique – mas também não terá possível encaixar o interesse da britânica BAE em manter a sua relação privilegiada com o Pentágono.

EADS and BAE Systems called off the world's largest defense and aviation merger on Wednesday, and sources close to the talks blamed Germany for wrecking the $45 billion deal.

BAE said it had become clear that the interests of the French, British and German governments could not be reconciled with each other or with the objectives that BAE and EADS established for the merger.

"BAE Systems and EADS have therefore decided it is in the best interests of their companies and shareholders to terminate the discussions and to continue to focus on delivering their respective strategies," BAE said in a statement.

Securing such an enormous and complicated cross-border deal in a sector where commercial considerations are typically trumped by political, economic and national security concerns was always going to be desperately difficult.

The companies had until 1600 GMT to declare their intentions and either scrap the merger, ask British regulators for more time or finalize their plans to create a group employing nearly quarter of a million people that could compete with U.S. rival Boeing.

"Germany blocked the deal, although all demands from the German side were met. Top German negotiator Lars-Hendrik Roeller was the one who formulated all demands and said no in the end," a source close to the deal said. Roeller is Chancellor Angela Merkel's senior economic adviser.

Before the talks collapsed, several sources close to the negotiations had said Merkel opposed the proposal to combine Airbus passenger aircraft with UK defense contractor BAE.

"Merkel is against the deal but has not given reasons," another source involved in the talks had said.

Sources said Germany had wanted parity with France in the shareholding of the new group, plus the basing of some company headquarters in the German city of Munich.

"France and the UK agreed that Germany have the same stakeholding as France in the merged group. Separately, vast guarantees were given regarding safeguarding national security interests, sites, jobs. The topic of headquarters was being discussed very emotionally, but not an issue big enough to let the deal fail," a source close to the transaction said.

BAE SHARES DOWN, EADS UP

At 1234 GMT BAE shares were down 1.75 percent at 319.7 pence in London, while EADS shares were up 3.4 percent at 26.98 euros in Paris.

Brinkmanship is common in European negotiations, and Franco-German-led EADS - whose full title is the European Aeronautic Defense and Space Company - was itself only created after talks about its structure collapsed and were resurrected weeks later.

"It is, of course, a pity we didn't succeed, but I'm glad we tried. I'm sure there will be other challenges we'll tackle together in the future," said Tom Enders, EADS chief executive.

The merger had faced growing unease from investors in both companies who complained they were lacking information. Many people bought shares in EADS on the strength of its growing Airbus civil unit, rather than its defense ambitions, while BAE investors were attracted by its dividend yield.

Germany does not currently have a direct stake in EADS, but is represented by industrial ally Daimler AG, which holds just over 22 percent. France holds an identical stake, split between the state and French publisher Lagardere.

The British government holds a golden share in BAE that allows it to block foreign takeovers.

Adding to the hurdles facing the deal, BAE's largest shareholder, fund manager Invesco Perpetual, with 13.3 percent, had said it was not convinced of the strategic rationale for the combination.

Oct 5 (Reuters) - French demands have brought the planned mega-merger between European aerospace groups EADS and BAE Systems to the brink of collapse, Germany's Spiegel Online reported on Friday.

Citing government sources, the online magazine wrote that Britain wanted to prevent at all costs any one state owning more than 10 percent of the merged company -- a demand that France flouted with its plans to hold more than that while obtaining the option to buy even more shares later on.

Está num impasse a fusão entre a EADS, a companhia Aeronáutica Espacial e de Defesa Europeia, e a BAE, a empresa aeronáutica britânica.

O objetivo é criar a maior companhia aeronáutica e de defesa do Mundo, sem intervenção governamental, mas existe ainda algum ceticismo.

França e Alemanha, acionistas indiretos da EADS, e Reino Unido, pela BAE, têm palavra no negócio, mas há muito por clarificar. Nomeadamente na ótica dos alemaes.

O responsável pela EADS, Tom Enders, esteve no comité dos assuntos económicos germânicos a prestar algumas explicações e, à margem dessa reunião, aproveitou para reforçar a importância do projeto europeu.

“Queremos criar uma companhia internacional de sucesso, que possa atrair mais investidores.
Temos muitos exemplos que provam que companhias deste setor e desta envergadura não precisam obrigatoriamente de ter envolvimento estatal”, afirmou Enders aos jornalistas.

A divisão de poder na nova empresa – com a EADS, segundo foi anunciado, a ficar com 60 por cento contra 40 da BAE – é o foco de maior discussão. Os acionistas da EADS querem mais. Mas os britânicos têm como trunfo a relação privilegiada com os Estados Unidos e não pretendem colocar essa ligação em risco com a fusão.

À espreita está a americana Boeing, que vê nesta fusão um poderoso concorrente, face aos Airbus produzidos pela europeia EADS.

As negociações para a fusão foram anunciadas há duas semanas. O negócio está avaliado em quase 40 milhões de euros e mexe com muitos interesses.

Berlim, Paris e Londres mantêm conversas de bastidores ao mais alto nível, à medida que se aproxima o “deadline” para a fusão: 10 de outubro.

A fusão entre a britânica BAE e a franco-alemã EADS pode estar em perigo por causa dos contratos existentes com o Pentágono
A BAE Systems admitiu desistir da fusão de 35 mil milhões de euros com a EADS para manter a relação privilegiada que mantém com o Pentágono.

Segundo avança esta segunda-feira, 24 de Setembro, o "Financial Times", a BAE já fez o aviso. "A BAE não fará o negócio se o seu Acordo Especial de Segurança tiver de ser alterado para ficar semelhante ao da EADS", avança fonte não identificada ao jornal britânico, que conclui, por esta declaração, que existem complicações na fusão das duas empresas europeias.

O acordo que a BAE tem com o Pentágono obriga a que a empresa tenha gestão americana nos Estados Unidos, o que significa que ao ser uma companhia "americana" pode entrar em determinados projectos de segurança norte-americana. O que não acontece com a EADS que tendo também um acordo especial de segurança é, no entanto, mais restritivo.

Com o acordo que tem a BAE, a empresa britânica conseguiu já que do seu volume de negócios cerca de 14 mil milhões de dólares sejam realizados nos Estados Unidos da América, onde emprega 40 mil pessoas. O que, aliás, é um dos atractivos para a EADS, consórcio franco-germânico, que emprega três mil pessoas nos Estados Unidos onde realiza 1,4 mil milhões de dólares.

Alguns advogados citados pelo "FT" acreditam que Washington não estará disposto a manter o acordo privilegiado com a BAE se a fusão avançar.

De acordo com a proposta de fusão, a EADS ficará com 60% da nova empresa, enquanto a BAE ficará com 40%.

Sinceramente, para mim o melhor era sempre aguardar, está a lateralizar estes últimos dias e nada aponta para que o sentido seja de subida...

Estou tentado a uma entrada longa na Eads. Os 25 estão a suportar muito bem a queda. Ou será melhor aguadar mais uma sessão ou duas? É sempre aquela dúvida.... :(

Depois de uma queda de 15% em duas sessões não sei bem o que é que pode ser considerado uma vela bonita... até pode vir a fazer um bullish engulfing, mas olha bem para o volume de hoje comparado com o de quinta-feira...

A fusão entre a fabricante de aviões EADS e a BEA Systems, empresa dedicada à área da defesa, poderá ser um impulso para a ambição dos líderes europeus de tornar a indústria militar mais eficiente, noticiou a Reuters.
A Reuters referiu que a União Europeia tem procurado há muito promover uma maior cooperação transnacional em projetos de defesa na Europa, após os Governos terem cortado no orçamento militar dos seus países.

A NATO também apelou a que os países tentassem optimizar os seus recursos através dessa mesma cooperação.

Com este cenário, a fusão entre a EADS e a BEA poderia contribuir para a obtenção destes objectivos, acrescentou a mesma fonte.

Em conjunto, as duas empresas têm um volume de negócios de 93 mil milhões de dólares, com um portfólio de produtos que vão desde os aviões militares Airbus, passando pelos Typhoon e submarinos de propulsão nuclear.

Os governos alemão e francês já manifestaram o seu apoio à fusão, contudo alertaram para os obstáculos que a operação poderá encontrar, nomeadamente ao nível da protecção do emprego.

Já o Governo britânico já afiançou que está a trabalhar para garantir que o interesse público seja preservado.

Especialistas da area da Defesa, citados pela Reuters, referiram que os governos europeus irão alocar “um montante significativo” à area da Defesa, mas também irão reduzir custos. A agência refere que apesar da integração europeia em várias áreas, a Defesa continua a ser um assunto nacional.

Alguns analistas defendem que esta fusão poderá ser o motor para a “standarização” das forças armadas nos três principais países, Reino Unido, França e Alemanha.

Os grupos britânico BAE Systems, da área da defesa, e europeu EADS, do sector aeroespacial, estão a negociar a sua fusão, duas unidades que empregam mais de 220.000 trabalhadores.


O negócio criaria uma empresa 'gigante' nos domínios da defesa e aeroespacial, quando a conjuntura nestas áreas é dominada por desafios e incertezas, perante os cortes orçamentais na Europa e nos Estados Unidos.

A EADS já é uma das maiores empresas europeias, envolvida na produção de aviões (Airbus), helicópteros (Eurocopter), satélites (Astrium) e eletrónica de defesa (Cassidian). A Airbus e a EADS têm disputado o mercado da aviação civil e militar à norte-americana Boeing.

também reparei... talvez expectativas de mais consolidação no sector?

Hoje a EADS lidera as subidas no CAC mas para mim isto não passa de uma reacção ao suporte.

De qualquer forma a minha expectativa é que haja alguma reacção ao suporte, mas isso não significa que vá por aí acima (cenário 2), pode ficar aqui a "digerir as perdas" (cenário 3).
